Bestoffer.lk is a Sri Lankan online marketplace and deals-discovery platform designed to connect customers with local shops, businesses, merchants and deal providers.

The platform may allow users to:

Bestoffer.lk provides the technology and marketplace environment through which customers and sellers may interact. Unless expressly stated otherwise, Bestoffer.lk is not the manufacturer, owner, importer, distributor or seller of products listed by independent deal providers.

2. DEFINITIONS

For these Terms:

• "Bestoffer.lk", "we", "us" or "our" means the operator of the Bestoffer.lk platform.

Bestoffer.lk may facilitate the transaction, communication, payment, delivery or order-tracking process, but this does not necessarily make Bestoffer.lk the seller or manufacturer of the product.

7. SELLER RESPONSIBILITY

Every seller is responsible for ensuring that its products, services and business activities comply with all applicable laws and regulations. Sellers must ensure that:

• Products are genuine and lawful;

Bestoffer.lk may modify, reject, suspend or remove listings that violate these Terms, applicable law or platform standards.

10. PRICE INFORMATION

Bestoffer.lk may display prices, discounts, comparison prices, promotional prices and other commercial information. Prices may change without notice.

Price-comparison information is provided to help users make purchasing decisions. Unless expressly stated otherwise, Bestoffer.lk does not guarantee that:

Unless Bestoffer.lk expressly states otherwise, promotional offers are provided by the relevant seller. Bestoffer.lk may remove or modify promotions that are inaccurate, expired, unlawful or unavailable.

13. ORDERS

Where ordering functionality is available, submitting an order constitutes a request to purchase the selected product. Submitting an order does not necessarily mean that the seller has accepted the order.

An order may be:

• Accepted;
• Rejected;
• Cancelled;
• Partially fulfilled;
• Delayed;
• Refunded.

A seller may reject an order for legitimate reasons including:

14. ORDER CONFIRMATION

By submitting content, you confirm that:

• You own or have the necessary rights to submit it;
• It does not unlawfully infringe another person's rights;
• It is not fraudulent;
• It is not defamatory;
• It does not contain unlawful material;
• It does not contain malicious software;
• It does not violate applicable law.

You grant Bestoffer.lk a non-exclusive, worldwide, royalty-free licence to use, reproduce, display, adapt and distribute submitted content as reasonably necessary to operate, promote and improve the platform, subject to applicable law and our Privacy Policy.

23. PROHIBITED CONTENT

You must not upload, publish or distribute content that:

• Is fraudulent;
• Is misleading;
• Infringes intellectual-property rights;
• Contains malware;
• Contains unauthorised personal information;
• Contains confidential information belonging to another person;
• Promotes unlawful activity;

Examples may include, depending on applicable law and platform policy:

• Explosives;
• Illegal gambling services;
• Fraudulent documents;
• Products that unlawfully infringe intellectual-property rights;
• Other prohibited or unlawful goods.

Bestoffer.lk may immediately remove prohibited listings and suspend the responsible seller.

25. INTELLECTUAL PROPERTY

All intellectual-property rights in Bestoffer.lk's platform and original content belong to Bestoffer.lk or its licensors unless otherwise stated. This may include:

• Bestoffer.lk name;
• Logo;
• Branding;
• Website design;
• Layout;
• Graphics;
• Software;
• Source code;
• Database structure;
• Original text;
• Platform features;
• Trademarks;
• Service marks.

You may not copy, reproduce, modify, distribute, sell, reverse engineer or commercially exploit Bestoffer.lk's proprietary material without appropriate authorisation.

26. SELLER INTELLECTUAL PROPERTY

Sellers retain ownership of intellectual property they lawfully own and upload to Bestoffer.lk.

By uploading product images, descriptions, logos or other material, the seller confirms that it has the necessary rights to use and publish that material.

The seller grants Bestoffer.lk permission to display and use that content as reasonably necessary to provide marketplace services.

27. COPYRIGHT COMPLAINTS

If you believe that content displayed on Bestoffer.lk infringes your copyright or other intellectual-property rights, please contact us with sufficient information to investigate the complaint.

We may remove or restrict access to allegedly infringing content where appropriate and permitted by law. False or malicious infringement claims may result in legal consequences.

28. THIRD-PARTY SERVICES

Bestoffer.lk may integrate with third-party services including:

32. SELLER SUSPENSION

• Repeatedly fails to fulfil orders;
• Misuses customer data;
• Receives credible fraud complaints;
• Violates consumer-protection requirements;
• Violates intellectual-property rights;
• Manipulates reviews or prices;
• Uses the platform unlawfully;
• Violates these Terms.

Suspension may include:

• Removing listings;
• Restricting account functionality;
• Preventing new orders;
• Holding certain marketplace functions;
• Terminating the seller account where appropriate.

33. SELLER FEES AND COMMERCIAL TERMS

Where Bestoffer.lk charges sellers fees, commissions, subscription charges, listing fees or other commercial charges, the applicable rates and conditions may be communicated separately.

A seller's use of marketplace services may be subject to a separate:

• Deal Provider Agreement / Seller Agreement

Where a separate commercial agreement exists, that agreement may govern seller-specific fees, commissions, settlements and other commercial matters.

34. TAXES

Sellers are responsible for complying with applicable tax laws and obligations relating to their business. This may include:

• Income taxes;
• VAT;
• Other applicable taxes;
• Customs duties;
• Business registration requirements;
• Other statutory obligations.

Bestoffer.lk does not provide tax advice to sellers. Sellers should obtain independent professional advice where necessary.

35. CONSUMER RESPONSIBILITIES

Customers agree to:

• Provide accurate order information;
• Pay applicable charges;
• Use valid payment methods;
• Follow delivery instructions;
• Respect seller policies;
• Not misuse promotions;
• Not submit fraudulent orders;
• Not abuse refund or return processes;
• Not manipulate reviews;
• Not use the platform unlawfully.

36. SELLER RESPONSIBILITIES

Sellers agree to:

• Honour accepted orders;

Nothing in these Terms excludes any consumer guarantee, statutory right or protection that cannot lawfully be excluded.

The seller is primarily responsible for the quality, legality and safety of products it sells.

Customers should carefully review product descriptions, specifications, warnings, instructions and seller information before purchasing.

For products involving health, safety, electrical equipment, food, cosmetics, children's products or other regulated categories, users should follow applicable manufacturer and regulatory guidance.

Bestoffer.lk does not manufacture or independently certify every product listed on the marketplace.

43. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, Bestoffer.lk shall not be responsible for indirect, incidental, special or consequential losses arising from use of the platform.

This may include, where legally permitted:

• Loss of profits;
• Loss of revenue;
• Loss of business;
• Loss of data;
• Loss of opportunity;
• Business interruption;
• Indirect financial loss.

However, nothing in these Terms limits liability where such limitation is prohibited by law. Nothing in these Terms excludes or limits liability for matters that cannot legally be excluded or limited under applicable law, including certain statutory consumer rights, fraud or intentional wrongdoing where applicable.

44. SELLER TRANSACTIONS

Where a customer purchases directly from an independent seller, the contract for sale may be between the customer and that seller.

The seller may therefore remain responsible for:

• Product quality;
• Product legality;
• Warranty;
• Returns;
• Refunds;
• Product safety;
• Delivery obligations;
• Consumer-law obligations.

Bestoffer.lk may assist with disputes but does not automatically become a party to every seller-customer contract.

45. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless Bestoffer.lk and its owners, operators, employees, contractors and service providers from claims, losses, liabilities, damages and reasonable expenses arising from:

• Your unlawful use of the platform;
• Your violation of these Terms;
• Your infringement of third-party rights;
• Fraudulent activity;
• Content submitted by you;
• Your violation of applicable law;
• Your misuse of customer or seller information.

This provision does not apply to the extent that the claim resulted from our own unlawful conduct or liability that cannot legally be transferred to you.

Nothing in these Terms is intended to remove mandatory consumer or privacy rights that apply to you under the laws of your jurisdiction.

53. CHANGES TO THESE TERMS
